These Review Manager Terms add to the RepSolver Terms of Service. How we handle Google data is described in our Privacy Policy.
1. WHAT THESE TERMS COVER
1.1. These Review Manager Terms are a separate agreement between you and RepSolver LLC ("RepSolver", "we") for RepSolver's free monitoring and paid Review Manager plans (the "Review Manager"). The RepSolver Terms of Service at repsolver.com/terms-of-service (the "Terms of Service") also apply to you. Capitalized words not defined here have the meaning given in the Terms of Service.
1.2. The Review Manager price is not a Fee for removal work. It is charged in advance for access to Review Manager for the period paid, whether or not any review is removed, and Sections 6.1, 11, 14 and 18.2 of the Terms of Service do not limit that. For Review Manager, its billing, renewal, cancellation, refunds of the Review Manager price, the connection to your Google Business Profile, changes to these Review Manager Terms, removal pricing for members (Section 5.2), and the matters in Section 1.5, these Review Manager Terms control over the Terms of Service and over any removal agreement. All other removal matters, including payment for removals, reinstated reviews, and refunds of removal fees, stay under the Terms of Service and any removal agreement you sign.
1.3. You accept these Review Manager Terms and the Terms of Service when you check the box agreeing to them at signup. For free monitoring, you accept them when you submit the signup form, which links to both.
1.4. You confirm that you are at least 18, that you own or are authorized to manage every business you sign up, including for free monitoring, and that you are authorized to bind that business. You agree to receive notices from us by email at your signup address and will keep it current.
1.5. The exclusivity terms in the Terms of Service apply only to reviews you have authorized us to pursue for removal. Section 17.1 of the Terms of Service does not apply to Review Manager.
2. PLANS
2.1. Free monitoring. We check your public Google listing about once a day, though timing varies, and email you when we find a new one or two star review. Free monitoring needs no payment method and no connection to your Google account. Every alert carries an unsubscribe link. If you receive alerts for a business you did not sign up, tell us and we will stop them. We may refuse, change, suspend or end free monitoring at any time.
2.2. Paid Review Manager. Paid Review Manager includes a review link and printed code you can share with your customers, an email when Google tells us about a new negative review, with a way to start its removal, replies to your reviews, posted under Section 7, a comparison with nearby businesses, and a periodic summary. It includes no removal discount (Section 5.2). Connecting your Google Business Profile (Section 6) is required for alerts, reply drafts and reply posting. While you have a paid Review Manager plan and your Google Business Profile is not connected, we do not check your listing and send no alerts, and free monitoring under Section 2.1 does not run for that location.
2.3. Prices. Review Manager is $50 a month per business location, or the price shown to you when you sign up, subject to Section 3.3. Connecting a Google account does not make its other locations members. Agencies and resellers may not hold a Review Manager plan for another business without our written consent.
2.4. Free month. We may invite you to a free month of paid Review Manager for one business location. It needs no payment method and nothing is charged. It lasts 30 days from the day we start it and then ends by itself; it never turns into a paid plan unless you join. During the free month you can post replies one at a time; automatic posting starts when you join. When the free month ends, we disconnect your Google Business Profile and free monitoring continues. We offer one free month per location and may end it early at any time.
3. BILLING AND RENEWAL
3.1. Monthly plan. We charge your payment method when your paid plan starts (Section 3.6) and then on the same day of each month, or the last day of a shorter month. THE MONTHLY PLAN RENEWS AUTOMATICALLY EACH MONTH AT THE THEN-CURRENT PRICE UNTIL YOU CANCEL.
3.2. No yearly plan. Review Manager is offered only as the monthly plan in Section 3.1.
3.3. Price changes. If we change the price of the monthly plan, we will email you, with how to cancel, at least 7 and no more than 30 days before the monthly charge at which the new price first applies to you. If you do not agree, cancel before that charge.
3.4. Failed payments. This Section applies to renewal charges; if your first charge fails, no paid Review Manager plan starts. If a charge fails, we may retry it over the following days and will email you. While a Review Manager charge is unpaid, your plan stays active for 10 days from the first failure. While a charge is unpaid, alerts continue for 10 days, and reply posting pauses until the payment goes through. If the charge is still unpaid after 10 days, your plan ends and we remove your card. You can rejoin at any time.
3.5. Taxes. Prices do not include taxes that apply to your purchase, which we may add where the law requires.
3.6. When we charge. We charge your payment method when you join, at the moment you add it, and your paid plan starts then. If you join with a card you already have on file with us from a removal, that card is your payment method and is charged when you join. Connecting your Google Business Profile is not a condition of that charge. If your profile has still not connected 14 days after that charge for a reason on our side or Google's, and not because you did not complete the connection steps (our connection records decide which), you may cancel at any time before it first connects for a full refund of every Review Manager charge you have paid. Your plan ends when you cancel under this Section. If the profile later connects instead, your paid period is extended by the days lost; we extend it by moving your next charge date. Once your profile has connected for the first time, this Section no longer applies and Section 4.5 governs any later loss of connection.
3.7. Confirmation. After you sign up for a paid plan we email you a confirmation with your plan, price, renewal terms, how to cancel, and a link to these Review Manager Terms.
3.8. Payment disputes. Write to team@repsolver.com before disputing a charge with your card issuer; we aim to answer within 5 business days. A chargeback of a valid charge is non-payment. Your plan is suspended while the chargeback is open. It ends if the chargeback is decided for us and the charge is still unpaid 10 days later, or if the money is returned to you. Removal fees owed stay due. The 10-day period in Section 3.4 does not apply to a chargeback. We may give the card issuer these Review Manager Terms and your signup and account records.
3.9. Remedies for non-payment. Suspension or ending of Review Manager is our only remedy for an unpaid Review Manager price. Sections 6.2 and 6.3 of the Terms of Service do not apply to the Review Manager price.
4. CANCELLATION, ENDING AND REFUNDS
4.1. How to cancel. You may cancel at any time using the cancel link in your dashboard, or by writing to team@repsolver.com. We will confirm the cancellation by email. You can rejoin at any time.
4.2. Monthly plan. Cancellation takes effect at the end of the month you have already paid for. If you rejoin before your paid month ends, nothing is charged when you rejoin. Your next charge is on the day your paid month ends, or the next day if you rejoin on that day. After your paid month ends, rejoining is a new Review Manager plan and is charged that day. EXCEPT UNDER SECTIONS 3.6 AND 4.7, WE DO NOT REFUND OR PRORATE A MONTH THAT HAS STARTED.
4.3. Removals already authorized. Cancelling or ending Review Manager does not stop or change a removal you already authorized. It is charged under Section 5.2.
4.4. What the Review Manager price pays for. The Review Manager price pays for access to the monitoring, reply and review request tools for the period paid, not for any removal or result. It is not refunded, credited or prorated for any reason (except under Sections 3.6, 4.5, 4.6 and 4.7), including a missed or late alert, or because no review of yours could be removed. Sections 13.2 and 14 of the Terms of Service do not apply to the Review Manager price; refunds of the Review Manager price are governed only by these Review Manager Terms.
4.5. If a paid feature is unavailable. If, after your profile has connected, a paid feature is unavailable to you for more than 7 days in a row for a reason on our side or Google's, including a limit on new Google connections, your sole remedy is an extension of your paid period by the days lost.
4.6. Ending by us. We may end a paid Review Manager plan, with no refund, for fraud, abuse of our staff or systems, misuse of the tools, a chargeback that ends your plan under Section 3.8, non-payment under Section 3.4, or a material breach of these Review Manager Terms or the Terms of Service that you do not cure within 10 days after we email you. A question or complaint sent to us is not a ground. Otherwise we end a paid plan only by declining to continue it at the end of a paid month.
4.7. Nothing in these Review Manager Terms limits a refund that the law requires.
5. REMOVALS FOR MEMBERS
5.1. Removal work is separate from the Review Manager price. We pursue a removal only after you authorize it for that review, for example by using the button in an alert or replying to us in writing. Using the button is your written authorization under Section 12 of the Terms of Service, identifies that review as Content of Concern, and is your explicit permission for our staff to read that review. As stated in the Terms of Service, you are charged for a removal only after Successful Removal. Each review is a separate removal.
5.2. Removal pricing. Review Manager includes no removal discount. A removal is charged at the price we show you before you authorize it, which is our standard removal pricing under the Terms of Service or any removal agreement you sign, and that amount stays fixed for that review. You pay it only after Successful Removal, whether or not your plan is active on that day.
5.3. No included removal. Review Manager includes no free or discounted removal.
5.4. No guarantee. Whether a review is removed is decided by Google. We do not guarantee that any review can be removed, including a review we alerted you to. Reviews that have been posted for more than about a month are generally harder to remove.
5.5. Reinstated reviews and refunds of removal fees are governed by Sections 9 and 14 of the Terms of Service. Under those Sections, if the same review from the same Google account comes back within 30 days of the charge or invoice, we work on it again at no charge, unless it came back because of something you agreed not to do. If it does not come back down, what you paid for it becomes a credit toward a different review you choose. Fees are not refunded in cash.
5.6. Earlier versions. If you joined under an earlier version of these Review Manager Terms that gave a member rate or an included removal, that version continues to govern the price of a removal you authorized while it applied to you.
6. CONNECTING YOUR GOOGLE BUSINESS PROFILE
6.1. Connecting your Google Business Profile is required for alerts, reply drafts and reply posting (Section 2.2). The review link and printed code work without it. You connect your profile by signing in with Google and approving access. You confirm that you own or are authorized to manage each profile you connect.
6.2. With your authorization we access your Business Profile account and location list, the business information on those locations, and the reviews on those locations, and we post replies to your reviews on your behalf under your settings (Section 7). You can turn posting off, and edit or delete any reply we posted, from your member page or from your Google Business Profile. We do not post anything else on your listing, change your business information, or create or delete locations. Removal work uses your public listing; we do not give data from your Google connection to removal contractors. How we handle this data is described in the Google User Data section of our Privacy Policy at repsolver.com/privacy-policy.
6.3. You may disconnect at any time from your dashboard or from your Google account settings. Disconnecting stops the paid features that depend on the connection. It does not by itself cancel a paid plan or entitle you to a refund. We delete the review data we obtained through the connection within 30 days after you disconnect or close your account, except backup copies that expire on their normal schedule and records we need for removal work you authorized, billing, disputes, or legal duties.
7. REPLIES TO REVIEWS
7.1. We prepare replies with automated tools, from fixed wording we wrote and reviewed, based on the review's star rating and the tone and sign-off you choose. Replies name nobody and give no details of any visit, treatment or matter. A reply may not fit every situation and is not legal or compliance advice.
7.2. When we post. Auto-post is off unless you turn it on. With auto-post on, we post a thank-you reply to each new five star review, and to each new four star review that our automated check finds no complaint in, between 10 AM and 2 PM your local time. A reply to a one or two star review, or to any other review, is posted only when you click to post it on your member page. We do not post on a review whose removal has started or that has been removed. Posting stops while your Google Business Profile is disconnected or your paid Review Manager plan is not active; a reply already posted stays on your listing unless you remove it. You may turn auto-post off, and edit or delete any reply, at any time. We may hold a reply that fails our checks and show it to you instead of posting it.
7.3. A reply we post under your settings or at your click is your reply, in your business's name, as is a reply you post yourself. You are responsible for it, including for compliance with laws and professional rules that apply to you, such as patient or client confidentiality. A reply that thanks a reviewer can confirm that they were your patient or client; consider that before you leave auto-post on or post a reply. Do not send us patient or client information.
8. REVIEW REQUEST TOOLS
8.1. The review link, printed code, and ready-made text and email messages are tools for you to use. The ready-made messages are samples; review them and add any opt-out wording the law requires. Messages are sent by you, from your own phone or email account, and you are the sender. RepSolver does not send review requests to your customers unless we agree to that separately in writing.
8.2. You are responsible for who you contact and how, including having any consent the law requires for texts and emails. Use the tools only with your real customers. Do not offer anything in exchange for a review, and do not ask only satisfied customers, both of which Google prohibits.
9. MONITORING, ALERTS AND RESULTS
9.1. Monitoring and alerts depend on Google and on other third-party services. We do not guarantee that every review will be detected, or how quickly. Do not rely on an alert as your only way of learning about a review. We are not liable for a missed or late alert, including where delay makes a review harder to remove, and none gives rise to a refund or credit.
9.2. We do not guarantee any result from Review Manager, including any rating, ranking, position in search results, or number of reviews.
10. LIABILITY AND INDEMNITY
10.1. Sections 8.1, 10 and 11 of the Terms of Service apply to Review Manager, to the extent the law allows, and "Fees" in Section 8.1 includes the Review Manager price you paid. For a claim arising from free monitoring, our total liability is US$100. Section 8.2 of the Terms of Service does not apply to non-payment of the Review Manager price.
10.2. You will defend and indemnify RepSolver against any third-party or regulator claim arising from a reply posted at your direction or under your settings, or that you post yourself, whether or not we prepared it under Section 7, from messages you send using the review request tools, or from signing up or connecting a business you were not authorized to.
11. CHANGES TO THESE REVIEW MANAGER TERMS
We may change these Review Manager Terms. For a change that reduces your rights or adds to your obligations, we will email you what changes; a price change follows Section 3.3 instead. The change takes effect at your first monthly charge that falls at least 30 days after that email, and if you do not agree you may cancel before then; continuing the monthly plan after that charge means you accept the change. No change applies to a removal already authorized or to a period already paid. These Review Manager Terms are a separate agreement accepted at signup, and Sections 18.2 and 18.3 of the Terms of Service do not limit changes made under this Section.
